Construction and property. Projects in the US, properly structured.
If you build, refurbish or hold properties in the US, you put each project into a company of its own. We form it, obtain the tax numbers, prepare the account application and key figures — and, with our team in Miami and Schwarzott Capital Partners AG in Zurich, support the capital stage.
In brief
For projects and properties in the US, a separate company is usually formed for each project, most often an LLC. FIAON Global forms it, applies for the EIN and prepares the account application and a key-figures file for financing discussions. The institution concerned decides on any financing; FIAON neither grants nor arranges loans.
One company per project
In the US it is customary to hold each construction project and each property in a company of its own. This separates liability, makes financing and sales simpler and keeps the figures for each project clean. For companies from Germany, Austria or Switzerland there is a further point: a team on the ground that attends appointments and files documents saves travel — and Schwarzott Capital Partners AG in Zurich, whose business includes property investments abroad, supports the capital stage.
From project to financing
- 1. Project company: Formation, EIN, registered agent, operating agreement — a separate company for each project.
- 2. Account and cards: An account for the project company, a card ladder for running expenses.
- 3. Key-figures file: Project figures, costs, timetable and documents, prepared for financing discussions.
- 4. Financing discussion: You submit the application to the institution; the institution makes the decision according to its own rules.
What you need to know
- FIAON is not a bank, does not grant loans and does not arrange them. The institution concerned decides on any financing.
- Acquiring property in the US brings its own tax and reporting obligations. You check these with a US CPA and your tax adviser.
- A US company that is managed from Germany, Austria or Switzerland remains taxable there; its formation must be reported to the tax office (in Germany under section 138 of the German Fiscal Code, AO).

Frequently asked questions
Do I need a separate company for each project?
It is customary: one company per project separates liability and figures and makes financing and selling easier. Whether it suits your case is something we clarify in the kick-off call.
Does FIAON finance my project?
No. FIAON does not grant loans and does not arrange them. We prepare key figures and documents for financing discussions; the decision lies with the institution.
Does the capital have to be spent in the US?
No. The capital is not tied to the US: your company can transfer funds to Europe or invest them in Europe, for example in your existing business or in projects here. The institution concerned decides on the limit and its terms; our partner tax adviser clarifies with you in advance how transfers and investments are treated for tax purposes.
Can your team attend appointments in the US for me?
Yes. Our team in Miami attends appointments with authorities and institutions. In the Global VIP package you can travel there yourself for the kick-off if you wish.
